**Location** Delhi **Experience** 2-3 Years **Key Skills** Agreements Drafting, agenda, Minutes, Annual General Meeting, Board & Committee Meeting, Companies Act, Compliance, Company Secretary, LLB, Notice, ROC, Communication Skills **Position: Company Secretary** **Qualification: CS,LLB** **Experience: 2 to 3 years** **Location: Delhi** **Job description** **Key responsibilities** - Drafting of Agenda and Minutes of the Meetings and Annual Report Documents; - Convening board/committee and shareholder meetings and handling compliances thereto; - Compliances under Companies Act, 2013 and POSH, ROC and other statutory filings, maintenance of statutory registers; - Filing of annual returns of the Company, trust and the schools (if applicable) - Filing and renewal of NOC’s and other statutory licences. - Compliance audit of the third party vendor staff and other support staff. - Third party vendor compliances and filing of various licences - Convening trust meetings and handling compliances thereto; - Drafting and filing of trust notices, meetings and circular resolutions - Drafting and vetting legal agreements; - Assist in preparation of Board & internal presentations and programme communication for the Foundation; - Handling project/partner documentation etc. Desired profile - A Company Secretary and LLB with 2-3 years’ work experience. - Good written and verbal communication skills. - A good team player having the ability to work and adapt to diverse sets of people. - Must project a mature & respectful attitude at work and with the other stakeholders.
