The Company Secretary will play a crucial role in ensuring compliance with legal and regulatory requirements and supporting the effective functioning of the company. Key responsibilities include:
- Managing and maintaining statutory registers and records in compliance with applicable laws and regulations.
- Organizing and facilitating board meetings, including preparing agendas, taking minutes, and managing follow-up actions.
- Assisting in the drafting and filing of corporate documents, such as annual reports, resolutions, and disclosures.
- Providing advice and guidance to the board of directors on corporate governance matters and regulatory developments.
- Liaising with regulatory authorities, auditors, and external advisors on company secretarial and compliance issues.
**Requirements**:
- Bachelor's degree in Law, Business Administration, or a related field.
- Professional qualification in corporate governance or company secretarial practice (e.g., ICSA).
- Proven experience as a Company Secretary or in a similar role.
- Thorough knowledge of corporate law and governance.
- Excellent organizational, administrative, and communication skills.
- High attention to detail and ability to work under pressure.
- Strong ethical standards and a high level of integrity.
- Strong communication and interpersonal abilities, with the ability to interact effectively with stakeholders at all levels.
