**Job description**

Convening, preparing agenda, board meeting material and conduct the meetings of the Board of Directors and Shareholders. Co‐ordination with group / associate companies for Corporate Governance requirements.

Maintain Statutory Registers as required under Companies Act, 2013

Preparation of Annual Report including Director’s Report and Corporate Governance Report of the Company

Compliances under the Companies Act, FEMA, RBI

Filing of various forms / documents/returns as required under the provisions of the Company Law with Ministry of Corporate Affairs / other statutory bodies

Statutory reporting and documentation for and on behalf of the Company including Agenda and Minutes of the Meeting

Co‐ordination with other functional teams to provide corporate documents, authorities and other necessary reports as may be required

Secretarial Compliances for Overseas Subsidiaries

Co‐ordination with Secretarial, Internal and Statutory Auditors and provide necessary assistance for Audit

Ensure the right set of information is available to the board of directors to enable decision making

Handle work related to issue of share certificates, transfer of shares and debt instruments

Participation in due diligence and other fund raising process as required

Other ongoing Secretarial / compliance work related as may be assigned by the management from time to time

I. Academic / Professional Qualifications: Should be a member of ICSI

II. Post Qualification Experience Minimum 6‐8 years. Should be able to handle independently.
