Job Responsibilities for Private Equity/Venture Capital Transaction Lawyer:

- Structuring, documenting, executing, and completing transactions while ensuring regulatory compliance.
- Advising on regulatory compliance related to foreign exchange control laws, tax laws, and securities laws in coordination with local offshore lawyers.
- Handling both investor and target perspectives in transactions.
- Strategizing PE/VC investments and advising on corporate and commercial issues related to such transactions.
- Drafting complex commercial agreements and transaction documents, including term sheets, share purchase agreements (SPA), shareholders' agreements (SHA), co-founders' agreements, escrow agreements, employee stock ownership plans (ESOP) policies, advisory stocks, etc.
- Reviewing and negotiating commercial contracts.
- Conducting legal and financial due diligence for startups.
- Demonstrating strong negotiation and advocacy skills and experience in negotiating commercial and legal clauses in contracts.
- Handling contract disputes, including coordinating dispute resolution.
- Coordinating with other teams and departments to provide comprehensive advice to clients on PE/VC deals.
- Closing formalities for transactions.

Qualifications and Experience:

- Corporate lawyer with expertise in drafting commercial agreements and independently handling VC transactions.
- 3-7 years of relevant experience.
- Knowledge and experience in corporate transactions such as mergers, acquisitions, venture capital funding, and private equity deals.
- Strong drafting and negotiation skills.
- Ability to advise clients on issues related to commercial transactions and various corporate and company law issues.

**Salary**: ₹20,000.00 - ₹50,000.00 per month
