Role:
- **Drafting, reviewing, negotiating commercial contracts**:
- Independently negotiating, drafting and reviewing commercial agreements, customer contracts, Sales contracts, Master Services Agreements, SoPs, customer NDA’s,, Amendments to customer agreements, Price / Rate revision agreements and the like;
- negotiating commercial agreements as a part of a cross functional team, working closely with the Sales and Commercial functions, and arriving at balanced positions to protect and promote business interests
- support stakeholders in understanding legal implications, exposures and mitigations on commercial contracts;
- engage with stakeholders actively and contribute to customer relationship management;
- Facilitate and track the end to end process of contracts (Contract Lifecycle Management).
- Creation of checklists for compliance post execution of commercial contracts
- Reviewing SoWs to ensure they are aligned to the MSA and do not lead to additional exposure to risk/ liabilities/ indemnities.
- Ensuring the contractual obligations undertaken do not lead to surprise / unknown risk / liability exposure.
- **Drafting, reviewing and negotiating consultant and Target NDA’s and contracts.**
- assist other cross function departments and stakeholders in review and closure of Consultancy Agreements, consultant and Target NDA’s and contracts.
- ** Support in customer contract compliance program.**
- Actively support and facilitate the development and adherence to customer contract compliance program and also assist other cross function departments in internal audits relating to said compliances.
- ** Support in internal/external audits, automations and provide necessary training to other depts.**
- Provide support to the internal / external audit teams on all matters relating to commercial contracts
- Play a major role in automation / process improvement initiatives for commercial contracts
- Train the Sales / Commercial teams on various aspects pertaining to commercial contracting, post execution compliance, troubleshooting, customer grievance support, etc.,
- Educate the Sales/ Commercial teams on exposure to indemnities and other liabilities.
- ** Adhoc support to the team and other depts.**
- Proactive and open to help achieve team goals and to take up adhoc projects within the team.
- suggest and participate actively in automation initiatives to improve efficiency and support a growing business- Qualification: LLB/ B.L / or similar Bachelor’s Degree from a premier University.
- Master’s Degree with specialization in commercial contracts/ drafting will be an added advantage
- Knowledge of Governmental contracting regulations - EAR, ITAR, FAR, DFAR etc., and other related requirements such as denied party screening, OFAC etc., will be preferred
- Post qualification relevant experience: minimum 9 years
- Should have independently handled international commercial contracts, governmental contracts, customer compliances, customer audits, customer certifications in reputed IT services organizations
- Knowledge of / exposure to commercial contracts and negotiations across the globe
- Excellent spoken and written communication skills, command over language, ability to articulate effectively, persuasive skills
- Analytical and problem solving skills
- Solution orientation - passion to think creatively and solve business issues in a legally compliant manner
- Ability to provide solutions by reaching out to and partnering with business teammates, collaborate with business and understand business aspects
- Ability to breakdown legal intricacies into simple, clear and crisp communications to help global business leaders effectively understand
