**Purpose of the Position (Job Summary)**
- The position is responsible for conducting Committee, Board & Annual General Meetings, documenting minutes, dividend payments to shareholders, ESOP allotment, etc. Advising authorities and BOD (Board of Directors) in risk management; business policies and strategies; ensuring healthy communication between stakeholders; authorities and government.**Key Roles and Responsibilities**
**Financial**
- Finalize minutes of Committee & Board meetings
- Arrange ratings from agencies
- Ensure dividend payments to shareholders and work with CFO to resolve any issues pertaining to it
- Ensure ESOP allotment as per timelines
**Customer Oriented**
- Reduce number of observations by statutory/ internal auditors related to Finance
**People Oriented**
- Ensure team members’ participation in training & development
**Internal Business Process**
- Conduct Committee, Board & Annual General Meetings
- Fulfill requirements (documentation, presentation and other legal requirements) of Board of Directors & Independent Directors
- Define agenda of Board & Committee Meetings
- Prepare for Business Responsibility Report (BRR)
- Ensure Maintenance of Registers & Records
- Ensure compliance to Companies Act
- Ensure adherence to SEBI guidelines
- Ensure timely filing of forms and returns with ROC, Stock Exchanges etc.
- Prepare & oversee printing of annual reports
- Release press reports after board meeting
- Coordinate with NSDL / CDSL/ Registrar/ NSE & BSE for ESOP Listing, Compliances, Reports, etc.
- Lead special projects (like Bonus, Merger, Amalgamation, ESOP schemes, etc.)
- Ensure investor page is updated on website
