Job Title: Company Secretary
Key Responsibilities:
1. Compliance & Governance:
Ensure the company complies with its governing documents, laws, and regulations.
Act as the primary point of contact between the company and regulatory bodies.
Maintain and update statutory books, including registers of members, directors, and secretaries.
File necessary returns and statements with government authorities like Companies House (UK) or the Securities and Exchange Commission (SEC) in the U.S.
2. Board & General Meetings:
Organize and prepare agendas for board meetings and annual general meetings (AGMs).
Distribute minutes of board meetings and follow up on agreed actions.
Provide guidance to the board on corporate governance matters.
3. Corporate Governance:
Advise the board of directors on their responsibilities under the rules of the company and various laws.
Assist the Chairman in ensuring that the board's decisions are implemented.
Implement procedures to ensure the company complies with relevant regulatory and legal frameworks.
4. Legal Documentation:
Draft and review contracts, agreements, and other legal documents.
Ensure that legal documentation is properly executed, filed, and maintained.
Handle corporate mergers, acquisitions, and other complex transactions.
5. Communication:
Liaise with external regulators and advisers, such as lawyers and auditors.
Act as the key point of communication between the company’s board and shareholders.
Coordinate communications between the management team, board members, and stakeholders.
6. Risk Management:
Oversee the development of effective risk management policies.
Ensure that appropriate systems are in place for financial, legal, and operational risk monitoring.
Ensure compliance with anti-bribery, corruption laws, and other ethical codes.
7. Corporate Records & Filings:
Ensure proper record-keeping of corporate documents, registers, and meeting minutes.
Monitor and report changes in legislation that may impact the company.
Ensure timely and accurate filing of required regulatory documents, reports, and returns.
Qualifications & Skills:
Education: Bachelor’s degree in Law, Business Administration, or related field. A professional qualification (ICSA) or equivalent in Corporate Governance is highly advantageous.
Experience: At least 5+ years of experience in a similar role, preferably in corporate governance or company secretarial work.
**Skills**:Excellent understanding of corporate law and governance.
Strong organizational skills and attention to detail.
Excellent communication and interpersonal skills.
Ability to work under pressure and meet deadlines.
Integrity, discretion, and the ability to maintain confidentiality.
Additional Responsibilities (depending on company size and industry):
Oversee the issuance and transfer of shares.
Manage the company's employee share schemes.
Deal with corporate restructuring and insolvency processes.
Pay: ₹15,000.00 - ₹20,000.00 per month
