Job Summary:
The Company Secretary & Compliance Manager will be responsible for ensuring the company complies with all legal, regulatory, and statutory obligations. This role involves supporting the Board of Directors, overseeing corporate governance practices, managing regulatory filings, and implementing internal controls to maintain legal and ethical integrity across the business.

Key Responsibilities:

- Company Secretarial Duties:

- Ensure compliance with Companies Act, 2013 and other applicable laws.
- Prepare and manage board meetings, AGMs/EGMs including drafting of agenda, notices, minutes, and resolutions.
- Maintain statutory registers and records.
- File all necessary returns, reports, and documents with ROC, MCA, and other regulatory bodies.
- Advise the board on governance best practices and legal obligations.
- Compliance Management:

- Develop and oversee control systems to prevent or deal with violations of legal and regulatory guidelines.
- Monitor changes in relevant legislation and regulatory environments and take appropriate action.
- Conduct internal audits and risk assessments to identify potential compliance issues.
- Liaise with regulators, auditors, legal counsel, and internal stakeholders to manage compliance requirements.
- Prepare compliance reports for the senior management and board.
- Governance & Risk:

- Support implementation of strong governance frameworks.
- Oversee company policies, code of conduct, and ethics programs.
- Advise management on emerging compliance risks and coordinate appropriate training programs.
- Other Responsibilities:

- Draft, review, and manage legal documents, contracts, and MOUs.
- Coordinate with external legal consultants when necessary.
- Manage compliance for subsidiaries, joint ventures, or group companies.

Qualifications & Skills:

- Qualified Company Secretary (CS); additional qualifications like LLB or FCA preferred.1-5 years of post-qualification experience in company secretarial and compliance functions.
- Strong knowledge of corporate laws, SEBI regulations, FEMA, and governance practices.
- Excellent drafting, communication, and interpersonal skills.

Pay: ₹359,953.93 - ₹1,055,619.56 per year
