We're seeking an energetic and motivated individual to take charge of the responsibilities outlined in the job description and drive our team to new heights.

1. **Legal Research & Analysis**
- Conducting thorough legal research on various corporate laws, regulations, and compliance requirements relevant to the company’s operations.
- Analyzing legal precedents, statutes, case law, and regulatory changes to support the company’s decision-making and mitigate legal risks.
- Advising management on potential legal implications of business decisions.

2. **Contract Drafting & Review**
- Drafting, reviewing, and negotiating a wide variety of contracts, including service agreements, partnership agreements, NDAs, employment contracts, and vendor agreements.
- Ensuring all contracts are legally sound, clear, and consistent with company policies and regulatory standards.
- Identifying and mitigating any potential legal risks in contractual terms and provisions.

3. **Corporate Governance & Compliance**
- Assisting in maintaining corporate governance policies and practices in line with local and international regulations.
- Advising on corporate structures, compliance with relevant industry regulations (e.g., data protection laws, anti-corruption laws, securities regulations), and ensuring compliance with all relevant laws and regulations.
- Keeping track of regulatory changes and advising the business on necessary adjustments to business practices or policies.

4. **Litigation Management**
- Assisting in managing and coordinating the company’s litigation matters, including working with external counsel when necessary.
- Supporting the company in disputes with customers, vendors, employees, or third parties by preparing necessary legal documentation, responding to claims, and participating in settlement negotiations.
- Representing the company in administrative hearings, arbitration proceedings, or other dispute resolution processes as required.

5. **Mergers & Acquisitions (M&A) Support**
- Providing legal support for mergers, acquisitions, joint ventures, and other strategic transactions.
- Drafting, reviewing, and negotiating term sheets, letters of intent (LOIs), share purchase agreements (SPAs), and other related documents.
- Conducting due diligence, assessing risks, and ensuring compliance with corporate, regulatory, and financial standards during M&A transactions.

6. **Intellectual Property (IP) Protection**
- Assisting in the protection of the company’s intellectual property, including patents, trademarks, copyrights, and trade secrets.
- Advising on IP-related agreements such as licensing, assignment, and non-disclosure agreements.
- Coordinating the registration of trademarks and patents, and ensuring enforcement of IP rights.

7. **Employment Law & HR Advisory**
- Providing legal advice on employment matters, including hiring, termination, employee benefits, non-compete clauses, and workplace policies.
- Drafting and reviewing employee contracts, non-disclosure agreements, and workplace policies.
- Assisting with disputes related to employee relations, including disciplinary issues, grievances, and claims of discrimination or wrongful termination.

8. **Regulatory and Legal Compliance**
- Monitoring the company’s adherence to industry-specific regulations, including financial services laws, healthcare regulations, environmental laws, and data protection.
- Advising on risk mitigation strategies to ensure compliance with both local and international laws.
- Preparing and filing legal documents, reports, and submissions with regulatory authorities as required.

9. **Risk Management**
- Identifying potential legal risks and providing strategies to mitigate those risks.
- Assisting in managing insurance claims and advising on the legal aspects of corporate insurance policies.
- Drafting risk management policies and advising management on business risks associated with commercial agreements, transactions, and regulatory compliance.

10. **Internal Legal Advisory**
- Providing internal legal advice to senior management, business teams, and departments on a variety of legal issues.
- Supporting the corporate legal department with general counsel matters and assisting with day-to-day legal inquiries.
- Participating in internal meetings and advising on legal and regulatory considerations for new business initiatives, product launches, or expansions.

11. **Corporate Transactions & Financing**
- Assisting in the legal aspects of corporate financing, including debt and equity transactions, loans, and investment agreements.
- Drafting and reviewing financing documents and supporting the corporate treasury and finance teams.
- Ensuring compliance with securities regulations when the company issues shares, bonds, or other financial instruments.
