**Job description**

**Roles and Responsibilities**
- Develop and implement organization\'s secretarial and compliance processes and policies in line with statutory requirements to mitigate current as well as future risks
- Litigation & non litigation,
- Coordination with all the internal stakeholders (CFO, Audit dept, Taxation Dept, Legal Dept)
- Ensure compliance to the Ethics and compliance policy and Ensure regular reporting
- Ensure organisational compliance to all applicable secretarial laws for India.
- Establish a certification/affirmation mechanism for compliance
- Ensure Board meetings are held as per statutory provisions of law and prepare the agenda and maintain minutes for all Board meetings
- Provide clarification on legal language or specifications
- Act as a nodal point of contact for SEBI, RBI and Ministry of Corporate Affairs
- Advise the management on their responsibilities as per the statutory norms in order to protect the interests Board and the organization
- Ensure timely and efficient communication to investors in order to have proper disclosures in line with good Corporate governance practices
- Compile quarterly compliance report and Ensure follow up for all areas of noncompliance identified for the company
