Lead - Corporate Contracts**Position Purpose**:

- To support the Lead - Corporate Contracts in reviewing the agreements, terms & conditions, MoUs etc. to ensure Company’s liability is limited in line with the corporate requirements. Contracts for review would range from complex CDA, Supply Agreement, Service Contracts related to Pharmaceuticals Industry etc.

**Strategic Responsibilities**:

- Review, draft and advise on various commercial contracts (including confidentiality, agency, consultancy, property leases, warehousing, logistics and procurement contracts as well as offtake agreements and sale), contract agreements for products, services and R&D purposes, company policies and other legal documents.
- Assess liabilities and obligations of the company to identify the need for amendments of existing contracts.
- Prepare and edit contracts between the company and potential clients.
- Develop and implement effective templates.
- Post contract execution management/advisory.
- Advisory in respect of legal and commercial issues, risks arising from strategic contracts.
- Disputes management, including running disputes and arbitrations.
- Legal cost management accountability.
- Ensure that all company operations are being carried out as per the law and offer counsel on legal issues.
- Provide legal advice and act as a legal representative of our company. You need to provide effective suggestions on the company's strategies and monitor the effects of external factors.
- Work closely with Head Legal, Risk & Compliance to implement corporate governance and risk policies, procedures, trainings and reports.
- Support in conducting training on contracts, contract law.

**Operational Responsibilities**:

- Preparing monthly and quarterly reports for the department for executive management meetings for contract status.
- Should be strong in managing the digital contract/ document management systems

**Financial Responsibilities**:

- Understand basic principles of Finance, Accounting, Marketing, and Management

**People Responsibilities**:

- Review team and individual performance and provide feedback on strength and development and drive action plans for improvement.
- Attend trainings on training needs identified or imparted by HR.

**Education Qualification**:

- Graduation (BSL LLB) / Masters course from premier institute

**Work Experience**:

- 4 - 6 yrs contract specialist activities with Group Counsel/ Head-Legal, or outside in LPOs for Contract Drafting with the client General Counsel.

**Industry to be Hired from**:

- Any Industry. Preference will be given to person with Pharma or Chemical Industry background.

**Functional Competencies**:

- Overall broad legal knowledge (Civil Law, Criminal Law, Contract Management, recovery litigations, etc.)
- In depth understanding of how legal issues affect organizations.
- Analytical, attention to details. Methodical and detailed in documentation and follow through on issues and cases
- Ability to exercise good judgment and provide practical solutions
- Good Communication Skills (Written & Oral)
- Contract Negotiation and Long-term Relationship ManagementÂÂ
- Good understanding of contracting / risk issues, including IP
