Qualifications and Skills:_**
- _
Qualified Company Secretary (ACS) with 5-7 years of relevant experience._
- _ In-depth knowledge of company law, corporate governance, and FEMA regulatory requirements._
- _ Strong organizational skills and attention to detail._
- _ Excellent verbal and written communication skills._
- _ Ability to work independently and handle multiple tasks simultaneously._
- _ Proactive approach to problem-solving and decision-making._
- _ Demonstrated integrity, confidentiality, and professionalism._
**Responsibilities**:
**1. Compliance Management**:
- Ensure compliance with applicable laws, regulations, and company policies.
- Maintain and update statutory registers, records, and company books.
- Prepare and file necessary documents with regulatory authorities, such as annual returns, financial statements, and other statutory filings.
- Monitor changes in relevant legislation and regulations and advise management on their impact.
**2. Board Support and Governance**:
- Organize and prepare board meetings, including drafting agendas, collating papers, and recording minutes.
- Provide advice and guidance to the board of directors on corporate governance matters.
- Ensure timely dissemination of board resolutions and follow-up on action points.
- Assist in the implementation of corporate policies and procedures.
**3. Shareholder Relations**:
Coordinate and manage communication with shareholders, including organizing general
meetings and drafting notices, agendas, and minutes.
- Process share transfers, issues, and allotments, maintaining accurate records of shareholding.
- Handle shareholder queries and concerns promptly and professionally.
**4. Legal Compliance and Documentation**:
- Review and draft legal agreements, contracts, and other legal documents.
- Conduct legal research and provide guidance on legal matters affecting the company.
- Ensure compliance with company law and other applicable regulations.
**5.Corporate Secretarial Duties**:
- Manage the company\'s corporate secretarial function independently.
- Maintain and update the company\'s corporate governance framework.
- Handle Domestic and Foreign ,Subsidiary formations and closures.
- Liaise with external professionals, such as auditors and legal advisors.
