**Role Summary**:
As an integral member of our team, the Company Secretary will be entrusted with the responsibility of overseeing a broad range of administrative and compliance-related tasks, facilitating the seamless operation of our company.
**Key Qualifications**:
- A Bachelor's degree in Business Administration, Company Secretary Intermediate / Final, or a closely related field.
- A minimum of 2-5 years’ experience in a Company Secretary role.
- Thorough understanding of company law, corporate governance, and compliance practices.
- Exceptional organizational and time management competencies.
- An unwavering commitment to meticulous attention to detail and precision.
- Strong verbal and written communication abilities.
- Mastery of MS Office suite.
- Self-motivated with the capability to operate both independently and collaboratively.
**Responsibilities**:
- Management of statutory document preparation and filing, including but not limited to annual returns, board resolutions, and minutes for a group of companies.
- Upkeep and periodic updating of statutory registers, records, and legal documentation.
- Orchestration of board meetings, including the formulation of agendas, minutes, and resolutions.
- Vigilant assurance of adherence to company laws, regulations, and corporate governance.
- Engagement in both internal and external stakeholder correspondence and communication.
- Administration and maintenance of corporate records and files.
- Contribution to the drafting and critical review of legal documents and contracts.
- Supervision of the company's secretarial and administrative operations.
- Development of documentation for Company Incorporation.
- Compliance with secretarial requirements for both listed and unlisted subsidiary entities, associates, and group companies.
- Organization and management of AGMs and other meetings, encompassing agenda setting, minute taking, and decision communication.
- Support in the creation of customer contracts, drawing from guidance provided by the legal head.
- Regular secretarial compliance tasks and ROC filings.
- Maintenance and updating of statutory records.
**Desired Skills**:
- A solid foundation in Company Law and SEBI compliances.
- Proficient computer skills and fluency in English.

Pay: ₹400,000.00 - ₹500,000.00 per year
