Company Secretary

We are looking for a **qualified and experienced Company Secretary** to manage the secretarial functions and ensure statutory and regulatory compliance for our listed entity.
**Key Responsibilities**:
- Manage the Secretarial Department and maintain all statutory records as per the Companies Act.
- Ensure timely and accurate compliance with **SEBI, RBI, FEMA, LODR, and Stock Exchange** regulations.
- Handle convening and conduct of **Board Meetings, Committee Meetings, and AGMs**, including drafting of notices, agendas, and minutes.
- File necessary forms, returns, and disclosures with **MCA, SEBI, Stock Exchanges, and other regulators**.
- Respond to regulatory notices and ensure timely submissions and follow-ups.
- Advise the board and senior management on corporate governance and legal compliance matters.
- Liaise with auditors, legal counsel, and regulatory authorities as required.
- **Qualified Company Secretary (CS)** with a minimum of **5 years of relevant experience** in a **listed company**.
- Thorough knowledge and practical experience with **Companies Act, SEBI Regulations, FEMA, RBI Guidelines, and LODR**.
- Strong drafting, communication, and compliance skills.
- Ability to independently handle the entire secretarial function.
- **LLB qualification is preferred**.
