**Urgent Opening for CS - Company Secretary in Kolkata**

Designation - **CS - Company Secretary**

Qualification - **CS - Qualified**

Experience - **6 - 8 Yrs. ( NBFC-MFI Company )**

Salary - **5 - 6 LPA / Negotiable**

Location - **Kolkata**

**Male & Female both are eligible.**

Job Resposibility - **Assist in organizing, preparing Agendas for & taking minutes of Board & General Meetings**:

- Maintaining statutory books including statutory books, including Register of Members, Directors etc.,**:

- Ensure compliance with the statutory requirements and regulations prescribed under the Companies Act, FEMA, FDI, RBI and all other applicable legislation**:

- Establish and drive implementation of Corporate Governance norms to ensure transparency in all operations**:

- Liaise and build relations with the Registrar of Companies, RBI, CLB, CLT, Depositories, and other statutory authorities; Periodically provide returns/forms required by them**:

- Liaise and coordinate with the NSDL, CDSL, Share Transfer Agents and Registrars etc. of the Organization for transfer, transmission and dematerialization of securities**:

- Advising and guiding members of the legal, governance, labour laws, accounting & tax teams regarding statutes applicable to them**:

- Ability to strike a balance between compliance/regulatory constraints and business imperatives & good drafting and communication skills.**:

- Excellent Negotiation & communication skills**:

- Excellent presentation skills**:

- Ability to interface effectively with the board of directors and conduct the board meetings**:

- Handling of Audit and RBI inspection end to end**:

- Assist in the establishment and maintenance of processes and controls within and across business groups so that the day-to-day business activities are in compliance with applicable laws and that any breaches of such laws, rules, regulations and internal policies are detected**:

- Provide a proactive and expert compliance advisory service**:

- Identify, investigate and resolve indications of violations to the Company's internal policies, systems and controls or to applicable laws, rules or regulations including labour laws and taxation**

**Salary**: ₹500,000.00 - ₹600,000.00 per year
