**Job Description ( Company Secretary )**
The Company Secretary is a key position responsible for ensuring the company's compliance with statutory and regulatory requirements, maintaining company records, and providing administrative support to the Board of Directors.
**Key Responsibilities**:
**1. Statutory Compliance**:
- Ensure compliance with the Companies Act, SEBI Regulations, and other applicable laws and regulations.
- Advise the Board on compliance matters and ensure timely filing of returns and documents.
**2*.**Company Records:*
- Maintain and update company records, including the Register of Members, Register of Directors, and Minutes of Meetings.
- Ensure accurate and timely recording of company transactions and decisions.
**3. Board Administration**:
- Coordinate and facilitate Board meetings, Annual General Meetings (AGMs), and Extraordinary General Meetings (EGMs).
- Prepare and circulate agendas, minutes, and other meeting materials.
**4. Shareholder Services**:
- Communicate with shareholders, respond to queries, and provide information as required.
- Ensure timely payment of dividends and other distributions.
**5. Corporate Governance**:
- Advise the Board on corporate governance best practices and ensure compliance with relevant codes and guidelines.
- Develop and implement policies and procedures to ensure effective governance.
**6. Risk Management**:
- Identify and assess potential risks and liabilities, and advise the Board on mitigation strategies.
- Ensure compliance with risk management policies and procedures.
**7. Other Responsibilities**:
- Provide administrative support to the Board and senior management.
- Ensure maintenance of company's registered office and other administrative tasks.
**Requirements**:
**1. Qualification**
- Associate or Fellow member of the Institute of Company Secretaries of India (ICSI).
- Bachelor's degree in Law, Commerce, or a related field.
**2. Experience**:
- Minimum 4-6years of experience as a Company Secretary or in a related role.
- Experience in a listed company or a large private company is desirable.
**3. Skills**:
- Strong knowledge of the Companies Act, SEBI Regulations, and other applicable laws and regulations.
- Excellent communication, organizational, and administrative skills.
- Ability to work independently and as part of a team.
**4**. Reconcile accounts and perform basic accounting analysis
**5.** Support the accounting team in various tasks and projects
**Requirements**:
**1.** Bachelor's degree in Accounting or related field
**2.** Basic knowledge of accounting principles and practices
**3.** Proficient in accounting software (e.g., QuickBooks, Xero)
**4.** Strong attention to detail and organizational skills
**5.**Ability to work in a team environment
**Job Types**:Full-time, Permanent
**Pay**: ₹5,00,000 - ₹9,00,000. per year Depend on interview your skill & Experience
