**Roles and Responsibilities**:
- Assisted in Conducting Board, Committee and General Meetings of the Company.
- Secretarial Assignments:
- Drafting& Maintaining Notices, Agenda Notes, Resolution(s) and Minutes of the Board, Committee and General Meetings.
- Procuring DIN of Directors& Digital Signature Certificates of Officers of the Company.
- Assisted in appointment of Whole Time Directors, Independent Directors and other Senior Managerial Personnel.
- Approval from Ministry in various matters viz., Scheme of Amalgamation and Arrangements under Section 391 394 of the Companies Act, 2013
- Handling pre and post merger/demerger work like filing of petition with the Courts and work relating to compilation of various documents, holding meetings of shareholders, etc.
- Handling post amalgamation work like filing forms with ROC, transmission of securities in name of amalgamated companies, preparation of consolidated balance sheets and income tax returns.
- Handled work related to preferential allotment of shares.
- Handled work related to shifting of registered office of the Company from one State to another.
- Keeping the management updated of the latest amendments in various laws, listing
- agreement etc.
- Handling routine secretarial work of fourteen other listed and unlisted group companies.
- Handling stock exchange operations involving dematerialization of securities, opening
- demat accounts etc.
- Good communication skills both written and verbal.
- Should be a Certified Company Secretary
**Job Types**: Full-time, Regular / Permanent
**Salary**: ₹30,000.00 - ₹35,000.00 per month
