**ROC Associate - Scope of work**
**ROC Associate - Key Responsibilities**
**1. Company Formation & Registration**
- Prepare and file incorporation documents with the **Registrar of Companies (RoC)**.
- Ensure full compliance with the **Companies Act, 2013** and related statutory regulations.
- Liaise with **MCA (Ministry of Corporate Affairs)** and other regulatory portals for digital filings and approvals.
- Utilize professional software tools such as **Compu-ROC**, **LegalComply**, or equivalent platforms for efficient documentation and filing.
**2. Compliance & Documentation**
- Maintain and update statutory registers including **Register of Members, Directors, and Shareholdings**.
- Draft and file **Board Resolutions, Notices, Minutes, and Shareholder Agreements** in a compliant format.
- Track and ensure timely submission of **annual returns, financial statements, and change-related forms (DIR, INC, MGT, AOC, etc.)**.
**3. Client Coordination**
- Professionally coordinate with clients to understand their business structure and guide them through compliance processes.
- Handle client queries regarding company law, registration, licensing, and related documentation with accuracy and discretion.
- Maintain high standards of communication and confidentiality in all client interactions.
**4. Regulatory Updates & Liaison**
- Stay up to date with amendments in **corporate law, MCA notifications, and compliance deadlines**.
- Assist in responding to **inspections, audits, or notices** from the RoC or other authorities.
- Prepare internal compliance checklists and assist in maintaining audit readiness.
**Required Skills & Qualifications**
- **Education**: Bachelor’s degree in **Commerce, Law**, or qualification as a **Company Secretary (CS)**.
- **Software Proficiency**: Must be thorough with **Compu-ROC**, MCA portal operations, and **digital signature management**.
- **Legal Accuracy**: Strong command over drafting, reviewing, and filing legal documents with attention to detail.
- **Communication**: Clear verbal and written communication to coordinate with clients and government officials.
- **Professionalism**: Ability to work independently while maintaining cooperative client relationships and ensuring confidentiality.
**Job Types**: Full-time, Fresher
Pay: ₹180,000.00 - ₹240,000.00 per year
