**Job Title**: Company Secretary
**Summary**:
As a Company Secretary, you will play a vital role in ensuring the efficient functioning of our bank's corporate governance and compliance processes. You will be responsible for managing board meetings, maintaining statutory records, and providing legal and regulatory guidance to the organization.
**Responsibilities**:
- Ensure compliance with the regulations and guidelines set forth by the Reserve Bank of India (RBI).
- Maintain a thorough understanding of RBI policies and directives related to banking operations.
- Monitor and update the bank's compliance policies and procedures in accordance with RBI regulations.
- Conduct regular audits and reviews to assess the bank's compliance with RBI guidelines.
- Prepare and submit reports to the RBI as required, ensuring accurate and timely submission.
- Coordinate with internal stakeholders to implement necessary changes to ensure compliance with RBI requirements.
- Stay updated on changes in RBI regulations and communicate relevant updates to the management and staff.
- Oversee the preparation and filing of Income Tax Returns for the bank, ensuring compliance with applicable tax laws.
- Collaborate with the finance and accounting team to ensure accurate and timely completion of tax-related documentation.
- Assist in the development and implementation of strategies to optimize tax efficiency and minimize tax liabilities.
- Monitor changes in tax laws and regulations, and advise management on potential impacts to the bank's tax obligations.
- Manage ancillary compliance requirements, such as KYC (Know Your Customer) norms, AML (Anti-Money Laundering) regulations, and other applicable regulatory frameworks.
- Conduct regular training and awareness programs to educate employees on compliance policies and procedures.
- Oversee and coordinate board meetings, including preparing agendas, minutes, and resolutions.
- Maintain accurate and up-to-date statutory registers and records.
- Ensure compliance with all relevant legal and regulatory requirements.
- Provide expert advice on corporate governance matters and regulatory changes.
- Collaborate with internal departments to develop and implement corporate policies and procedures.
- Monitor and manage the bank's legal and compliance risks.
- Stay updated on industry best practices and regulatory developments.
**Qualifications**:
- Bachelor's degree in Law, Business Administration, or a related field.
- Professional certification as a Company Secretary is highly preferred.
- Proven experience as a Company Secretary in the banking or financial services sector.
- Strong knowledge of corporate governance principles and regulatory frameworks.
- Excellent understanding of legal and compliance requirements in the banking industry.
- Exceptional communication and interpersonal skills.
- Strong attention to detail and organizational abilities.
- Ability to work effectively under pressure and meet deadlines.
