The role involves managing the full lifecycle of Private Equity (PE) and Venture Capital (VC) investment transactions, along with overseeing key legal and regulatory functions.Job DescriptionTransaction Management: Lead and execute PE/VC deals including structuring, due diligence, drafting and negotiating transaction documents (SHA, SSA, SPA, etc.), and closing support.Regulatory Compliance: Ensure adherence to SEBI regulations for Category I Alternative Investment Funds, including filings, reporting, governance, and investor disclosures.Contract Drafting & Negotiation: Handle a wide range of investment and commercial agreements such as shareholder agreements, JV agreements, SAAS agreements, IP licenses, MSAs, and proposals.Stakeholder Collaboration: Work closely with internal teams, external counsel, investors, and portfolio companies to manage legal milestones and ongoing needs.Fund Documentation: Support drafting and review of fund formation documents like PPMs, contribution agreements, and investor communications.Legal Advisory: Provide guidance on Companies Act, FEMA, SEBI, and other relevant laws impacting investment and fund operations.The Successful Applicant degree; additional qualifications like CS, LLM, or certifications in securities law are a plus.4-6 years of post-qualification experience in corporate law, preferably with exposure to PE/VC transactions.Strong understanding of corporate, securities, and M&A law.Proven drafting and negotiation skills.Ability to manage multiple projects independently.Prior interaction with regulatory bodies (SEBI, RBI) is advantageous.Excellent communication and attention to detail.
