With 714,000 people serving clients in more than 120 countries, The company brings continuous innovation to help clients improve their performance and create lasting value across their enterprises.The Role:The Head Secretarial & Legal serves as the chief legal officer of the organization having strong hold on Company Law and Regulations overseeing all legal matters to ensure compliance with laws and regulations, managing risks, and supporting the company's strategic goals. Provides legal advice to the executive team and board of directors, manages the legal department, and represents the organization in legal matters.Key Responsibilities:Strong and thorough knowledge of Company Law including CSRSound knowledge of FEMA related to foreign remittances, ODI and FLA compliancesAdvise the board on governance matters, helping to ensure that the company adheres to the highest standards of corporate governance. Collaborate with internal stakeholders to ensure alignment on governance and compliance mattersAssess impact of changes in law and regulatory environment, impacting the CompanyLiaise with external legal counsel and regulatory advisors for effectively managing complianceParticipate in identifying and managing corporate compliance risks, ensuring that the company has adequate risk management practices in place.Undertake and drive process and system improvementsWork closely with finance, internal audit, tax, HR and legal teams on all matters related to India board governance and related regulatory complianceGuidance during due diligence, structuring decisions related to acquisitionsStrong knowledge and experience on rectification of FEMA non-compliances related to share allotments and transfers to non-residentsEnsuring compliance related to all statutory meetings such as Board / Committee meetings, General meetings, as may be required by law, within prescribed timelines.Ensure that Board procedures and internal policy approvals are diligently adhered to.Guidance on drafting Directors reports, CSR reports, loan agreementsEnsure compliance of all regulatory filings with MCA / RBI including filings for adhoc events, as may be necessary.Ensure that secretarial audit is conducted as per prescribed timelines, in compliance with Secretarial standards.Skills Required:Strong communication skills - oral and writtenAbility to collaborate effectively with internal and external stakeholdersWillingness to adapt to changing priorities quicklyOperate in fast-paced working environment and navigate challenges effectivelyAbility to motivate, guide and inspire the teamMulti-stakeholder management, collaborative and solution-oriented approachThoroughness and attention to detail; analytical and research skillsEngage in activities via CSR, Inclusion and DiversityEstablish work plans and oversee / coordinate activities of the teamQualifications & Experience:Member of the Institute of Company Secretaries of India. Law degree will be an added advantage.Minimum 18-20 years of relevant work experience in a Private Company or Practicing CS firm or a law firm handling corporate law matters.
