Role Summary:
The Company Secretary will play a key role in ensuring compliance with corporate governance and statutory requirements. This individual will support the Board of Directors and senior management in regulatory matters, maintain company records, and contribute to the effective management of corporate operations.
Key Responsibilities:
Compliance and Governance:
1 - Ensure compliance with the Companies Act, SEBI regulations (if applicable), and other statutory obligations.
2 - Assist in organizing Board and committee meetings, including preparing agendas, drafting minutes, and maintaining accurate records.
3 - Ensure timely filing of statutory forms and returns with regulatory authorities.
Corporate Records Management:
1- Maintain statutory registers, records, and other essential company documentation.
2 - Safeguard corporate documents, contracts, and agreements in accordance with legal requirements.
Board Support:
1 - Act as a liaison between the Board of Directors and various stakeholders.
2 - Assist in drafting resolutions, reports, and correspondence for Board consideration.
3 - Support the Board in maintaining best practices in corporate governance.
Stakeholder Communication:
1 - Handle communication with shareholders, regulators, and external agencies.
2 - Manage inquiries related to corporate governance or compliance.
Regulatory Monitoring:
1 - Stay updated on legislative and regulatory changes affecting the company.
2 - Advise management on required actions to align with changes in the regulatory environment.
Qualifications and Experience:
Educational Qualification:
Bachelor’s degree in Law, Commerce, or Business Administration.
Membership with The Institute of Company Secretaries of India (ICSI) is mandatory.
Experience:
Minimum 3 years of relevant experience as a Company Secretary, preferably in the renewable energy or infrastructure sector.
Skills:
Solid understanding of corporate laws, compliance, and governance.
Strong organizational and documentation skills.
Proficiency in MS Office and company secretarial software tools.
Excellent written and verbal communication skills.
