Experience - 4-8YearsCustomer ContractsCandidate should be able to independently review and negotiate the IT contracts pertaining to Americas (US, Canada, LATAM)Candidate will have to review procurement side contracts mostly but may have exposure to customer side contracts as well.. Candidates will have to work on contracts with customers, subcontractors, vendors & alliance partners, based globally.Review and negotiation of Master Services Agreements, SOWs, Partner Agreements, Reseller Agreements, Teaming Agreements, Rainmaker Agreements.Co-ordinate with procurement, business and delivery functions for closure of transactions.Co-ordinate with other legal team membersPrepare monthly report on transactions received in particular monthThe role also involves monthly cadence reporting & meetings with the management, conducting presentations & trainings as may be required and legal projects on a case-by-case basis (assigned by the Senior Legal Counsels in the team)Inter-personal competenciesIdentifying contractual, commercial and operational risks and exposures in contracts;Providing inputs/mark-up on contracts to negate contractual, commercial and operational risks and exposures;Working with internal and external clients to structure, prepare, negotiate and finalize agreements, letters of intent, commercial proposals, etc.;Major Experience in Contract Negotiation is requiredReview and Negotiate Customer AgreementsProviding legal support for ongoing contract management related activities; Working in close co-ordination with external legal counsel;Participate in discussions with internal stakeholders, external counsels and advisors during the entire contracting process;Manage and give guidance to junior lawyers;Experience in negotiating IT Outsourcing contracts and other types of IT contracts with customers.
