About the Role:
We are seeking Legal professionals to join our growing legal team at Onix. The ideal candidate will have a strong background in corporate law, technology law, and contracts, with a deep understanding of the Indian legal framework and international commercial practices. You will be responsible for providing legal guidance on various matters related to product development, intellectual property, compliance, and contracts.
Key Responsibilities:
1. Contract Drafting and Negotiation:
Draft, review, and negotiate contracts such as software licensing agreements, SaaS agreements, partnership agreements, and other commercial contracts.
Experience in drafting, reviewing and negotiating customer as well as vendor contracts including Master services agreements, Statement of works, order forms, confidentiality agreements, RFPs, etc.
Ensure that all contracts comply with legal requirements and company policies.
2. Compliance and Regulatory Affairs:
Ensure the company’s operations comply with relevant legal and regulatory requirements in India and globally.
Advise on data protection laws (GDPR, Indian Data Protection Bill) and help implement relevant internal policies.
Monitor legal developments and advise management on changes impacting the business.
3. Intellectual Property (IP) Management:
Advise on matters related to intellectual property, including trademarks, patents, copyrights, and trade secrets.
Work with product and engineering teams to ensure IP rights are protected during software development.
4. Litigation and Dispute Resolution:
Handle any potential legal disputes or litigation involving the company.
Collaborate with external counsel when necessary.
5. Corporate Governance:
Provide legal advice on corporate governance matters, including board resolutions, company policies, and corporate structuring.
6. Risk Management:
Proactively identify potential legal risks in business operations and suggest mitigation strategies.
Conduct regular legal audits and ensure compliance with internal risk policies.
7. Stakeholder Collaboration:
Work closely with product, sales, finance, HR, and other teams to provide legal support across various business functions.
Provide legal training and awareness programs for internal teams.
8. International Legal Matters:
Assist with legal matters related to international expansion, including local compliance, trade regulations, and cross-border transactions.
Qualifications & Skills:
LLB/LLM from a recognised law school in India.
3-10 years of relevant experience working in-house at a technology company or a law firm specializing in technology or corporate law.
Strong knowledge of Indian legal and regulatory frameworks.
Experience with software licensing, IP law, data protection laws, and corporate compliance.
Excellent contract drafting and negotiation skills.
Proven ability to handle litigation and dispute resolution.
Strong analytical, communication, and interpersonal skills.
Ability to work in a fast-paced, dynamic environment with multiple stakeholders.
Prior experience working with international legal matters is a plus.
Preferred Experience:
Experience working with startups or product-based software companies.
Understanding of emerging technologies such as AI, cloud computing, and cyber-security from a legal perspective.
