Job Summary:

We are seeking a seasoned Legal Head to lead our legal and company secretarial functions, fostering a culture of excellence and ethical behavior. The ideal candidate will have a strong background in corporate law, compliance, governance, and secretarial practices, with mandatory qualifications in Company Secretary (CS) and Bachelor of Laws (LLB).

Key Responsibilities:
  • Legal Advisory & Strategy:
    • Develop and implement the company's legal strategy, ensuring robust legal support across all business units, while anticipating legal risks and developing strategies to mitigate them.
    • Provide legal counsel to the Board of Directors, senior management, and other stakeholders on legal and regulatory issues, ensuring the company operates within the legal framework while maintaining high standards of corporate governance.
  • Corporate Secretarial Functions:
    • Oversee all company secretarial functions, including compliance with the Companies Act, board meetings, and shareholder communications, maintaining and managing statutory records, filings, and registers in compliance with regulatory requirements.
    • Prepare and file necessary documents with regulatory authorities, including annual returns, financial statements, and board resolutions, ensuring the company's practices are updated to remain compliant.
  • Compliance Management:
    • Ensure that the company adheres to all legal and regulatory obligations, including corporate governance standards, monitoring changes in legislation and implementing internal compliance programs, including training and audits.
    • Develop and implement strategies for dispute resolution, representing the company in legal proceedings when necessary, ensuring the company operates with transparency, accountability, and integrity.
  • Contract & Documentation Management:
    • Draft, review, and negotiate contracts, agreements, and other legal documents to protect the company's interests, ensuring that all contractual obligations are met and that potential legal issues are identified and addressed proactively.
  • Corporate Governance:
    • Advise the Board and senior management on corporate governance best practices, facilitating board and committee meetings, including the preparation of agendas, minutes, and resolutions.
    • Lead and mentor a team of legal and compliance professionals, providing guidance on complex legal and secretarial matters, ensuring continuous professional development within the team.
