Corporate Governance Expertise:

The role of the Company Secretary is a pivotal one, ensuring compliance with corporate laws, statutory requirements, and regulatory frameworks.

This involves providing essential support to the board and senior management in implementing best practices for corporate governance.

Main Responsibilities:

  • Organize and facilitate board and committee meetings, including preparing agendas, drafting accurate minutes, and ensuring timely follow-up on action items.
  • Maintain timely compliance under the Companies Act, 2013, and related regulations.
  • Manage complex compliance obligations under FEMA (Foreign Exchange Management Act), including filings with RBI and related authorities.
  • Maintain accurate statutory registers, records, and documents as per legal and regulatory norms.
  • Serve as a key point of contact between the board of directors, shareholders, and regulatory authorities.
  • Assist in developing board resolutions, corporate policies, and disclosures.
  • Monitor changes in legal and regulatory frameworks and advise management accordingly.
  • Coordinate with external consultants, auditors, legal advisors, and government agencies as required.

Necessary Qualifications and Skills:

  • Completed Company Secretary (CS) qualification.
  • Relevant experience in secretarial, compliance, or corporate governance functions.
  • Working knowledge of the Companies Act, 2013.
  • Experience with incorporation processes for foreign companies.
  • Familiarity with FEMA-related procedures and compliance.
  • Proficiency in MS Office and document management tools.
