We are seeking a highly skilled and experienced Chief Compliance Officer to lead our compliance efforts.

The ideal candidate will be responsible for ensuring the company's compliance with all statutory and regulatory requirements, maintaining effective corporate governance practices, and advising the board of directors on corporate governance matters.

The Chief Compliance Officer will play a crucial role in identifying and assessing potential legal and compliance risks, developing and implementing risk mitigation strategies, and collaborating with other departments to ensure a comprehensive understanding of potential risks.

The successful candidate will have strong influencing skills, a minimum 7+ years of post-qualification business partnering experience, and a Certified Company Secretary qualification. They will also possess a deep understanding of regulatory compliance, corporate actions for M&A, investor servicing, AR and GM /Postal Ballots handling, policy reviews, and Insider Trading Regulation Compliance & Material Event Awareness.

Responsibilities:

  • Compliance Management: Stay abreast of all relevant laws, regulations, and guidelines affecting the company's operations, develop, implement, and monitor compliance frameworks and procedures, conduct regular compliance audits and assessments to identify and address potential issues.
  • CORPORATE GOVERNANCE: Provide guidance to the board of directors on corporate governance best practices, organize and prepare materials for board and committee meetings, assist in the development and implementation of corporate policies and procedures.
  • Company Secretarial Functions: Ensure all statutory and regulatory filings are completed accurately and on time, maintain and update corporate records, including board minutes, resolutions, and other legal documents, facilitate communication between the board, management, and shareholders.

Achieving this role requires the following qualifications and skills:

  • Certified Company Secretary
  • Minimum 7+ years of post-qualification business partnering experience
  • Strong understanding of regulatory compliance, corporate actions for M&A, investor servicing, AR and GM /Postal Ballots handling, policy reviews, and Insider Trading Regulation Compliance & Material Event Awareness
  • Strong influencing skills & ability to work with Senior Leaders across functions
