Job Title:

Senior Corporate Counsel

The Senior Corporate Counsel will be responsible for providing strategic legal support to the organization.

Key Responsibilities
  • Drafting and Reviewing Contracts: Draft, review, and vet a wide range of contracts including supply and service agreements, EPC contracts, O&M contracts, tender documents, HR & admin-related service agreements, transmission and utility agreements, international agreements, NDAs, MOUs, standard terms and conditions, and financing agreements.
  • Legal Opinions: Provide detailed legal opinions and guidance on diverse matters including bidding strategy and compliance, right of way and land acquisition, transmission service agreements, share purchase agreements, indemnity claims, and contractual payment disputes.
  • Land and Title Due Diligence: Conduct land-related legal due diligence and title verification for project development. Assess risks associated with land procurement and right of way.
  • Bid Review and Support: Review final bid submissions for infrastructure projects. Handle bid-related legal queries and provide prompt clarifications to the bidding team to ensure timely and accurate submissions. Perform legal due diligence for acquisition of special purpose vehicles post project awards. Evaluate contractual, corporate, and land-related risks for smooth transition and integration.
  • Negotiation and Finalization: Engage in direct negotiations with external stakeholders and counterparties. Finalize contracts by ensuring favourable legal positioning while maintaining business objectives.
