About the Role

We are seeking a seasoned corporate governance and compliance expert to join our team as an In-House Corporate Governance and Compliance Officer. This role involves independently managing legal, secretarial, compliance, and corporate governance functions.

Key Responsibilities:
  • Company Secretarial:
    • Drafting and managing Board, General, and Committee meeting notices, agendas, minutes, and resolutions.
    • Ensuring compliance with regulatory requirements, including Companies Act 2013, FEMA, SEBI, and other applicable laws.
    • Managing shareholder activities, including ESOP administration, cap table, issuance of securities, NCRPS/NCD, and share transfers.
    • Supporting fundraising transactions, including due diligence, investor onboarding, and secretarial documentation.
    • Liaising with external consultants, legal counsels, and regulatory bodies.
  • Legal & Commercial Contracts:
    • Drafting, reviewing, and negotiating commercial agreements, including vendor contracts, NDAs, SaaS agreements, MoUs, term sheets, and shareholder agreements.
    • Managing contract lifecycle and maintaining repository.
  • Compliance & Governance:
    • Ensuring compliance under FEMA, RBI, POSH, and other specific regulations.
    • Leading FEMA filings (FC-GPR, FLA, etc.) and coordinating with RBI consultants.
    • Supporting policy development: whistleblower, code of conduct, POSH committee, and risk management.
  • Strategic & Advisory:
    • Collaborating closely with founders on business structuring, investor due diligence, and secretarial audit preparedness.
    • Advising internal stakeholders on legal risk, rights, and obligations, and corporate structuring.

Qualifications:

  • Qualified Company Secretary (mandatory); LLB preferred.
  • 2–4 years of relevant post-qualification experience.
  • Strong working knowledge of corporate law, startup ecosystem, and investment documentation.
  • Ability to work independently and manage cross-functional coordination.
