Job Title: Corporate Governance Specialist

 

  • Prepare and distribute vital meeting materials, including agendas, notices, and supporting documents, to facilitate informed decision-making at board and committee meetings.
  • Attend board meetings, record accurate minutes, and maintain comprehensive records of all proceedings.
  • Collaborate in the preparation and submission of statutory documents with relevant regulatory authorities.
  • Stay abreast of changes in corporate law and ensure adherence to established corporate governance guidelines, listing rules, and other pertinent regulations.
  • Offer expert guidance and support to directors and senior management on critical corporate governance matters.
  • Negotiate effectively with regulatory bodies, such as the Registrar of Companies (ROC), Reserve Bank of India (RBI), and the Securities and Exchange Board of India (SEBI).
  • Maintain open communication channels with external advisors, legal counsel, and auditors on corporate governance and compliance issues.
  • Conduct thorough corporate governance reviews and assessments to identify areas for improvement and optimize business practices.
  • Remain up-to-date on amendments to corporate law, regulations, and best practices in corporate governance.

 

Required Skills and Qualifications
  • Membership in the Institute of Company Secretaries of India (ICSI) with a strong background in company secretarial work.
  • At least 4 years of experience in corporate governance and compliance roles or similar positions.
  • Detailed knowledge of corporate laws, regulations, and governance principles.
  • Familiarity with prominent corporate governance codes and guidelines, such as the Companies Act, FEMA, and SEBI regulations.
  • Proficiency with XBRL software and tools for efficient document management and compliance tracking.
  • Excellent communication and interpersonal skills, enabling effective interaction with senior executives and board members.
  • Ability to handle confidential information discreetly and work independently under pressure in a fast-paced environment.
  • Precise attention to detail and adaptability in responding to changing circumstances.
