IPO Transaction Manager

At OrbiTouch HR (orbiTouch outsourcing pvt ltd), we are seeking an experienced IPO Transaction Manager to join our team. As a key member of our corporate secretarial department, you will play a crucial role in ensuring seamless transaction execution and compliance with regulatory requirements.
About the RoleThis is a fantastic opportunity for a semi-qualified Company Secretary to take on new challenges and responsibilities, working closely with our senior management team to drive business growth and success.
Job DescriptionWe are looking for a highly skilled and detail-oriented individual who can assist in various aspects of IPO transactions, including:
- Regulatory Compliance:
Ensure timely submission of documents to regulatory bodies, such as the Securities and Exchange Board of India (SEBI) and Registrar of Companies (RoC).
Liaise with legal and financial advisors to guarantee accurate and compliant filings, reports, and documentation.
- Document Preparation:
Draft, review, and compile essential IPO documents, including the Draft Red Herring Prospectus (DRHP), Red Herring Prospectus (RHP), Offer Document, and other related reports.
Verify that all disclosures in IPO documents are precise, complete, and aligned with regulatory requirements.
- Corporate Governance:
Guarantee that the company adheres to best practices in corporate governance throughout the IPO process.
Maintain and update statutory registers and records, such as the Register of Shareholders, Register of Directors, and other compliance documentation.
The ideal candidate should have a strong understanding of corporate laws, SEBI regulations, and IPO-related processes, along with excellent written and verbal communication skills. Proficiency in using MS Office and corporate governance tools is also essential.
RequirementsSemi-qualified Company Secretary (CS) with ongoing studies in the Company Secretary course (Intermediate level).
A degree in Law (LLB) or a related field is an added advantage.
Minimum 0–2 years of experience in corporate secretarial, legal, or compliance roles, preferably within the IPO process.
Previous experience in assisting IPOs, corporate governance, or working with regulatory bodies (SEBI, MCA) is preferred.
Strong analytical and problem-solving skills, with the ability to work under pressure and meet deadlines.
Knowledge of corporate secretarial software and online regulatory filing platforms (e.g., MCA21, NSE/BSE portals) is advantageous.
