The Legal Manager position involves overseeing corporate legal matters, ensuring compliance with regulations and laws, managing disputes, and coordinating governance activities.
This role offers an exciting opportunity to develop expertise in diverse legal areas while working in a dynamic environment.
Key Responsibilities:- Commercial Legal Services:
- Provide timely and accurate legal advice to stakeholders on various commercial topics, including contractual agreements, regulatory compliance, and risk management.
- Review, draft, and negotiate legal documents such as commercial contracts, terms of service, non-disclosure agreements, memoranda of understanding, and other contractual arrangements related to sales, purchases, supply, consultancy, agency, distribution, real estate, construction, mining, and banking.
- Develop or update contract templates and adapt existing templates to meet local requirements.
- Collaborate with the Group Insurance Department and local brokers for insurance claims and queries.
- Identify potential legal and regulatory risks and provide proactive solutions to mitigate those risks.
- Compliance and Governance:
- Act as the primary point of contact for compliance-related issues, ensuring effective implementation of Group compliance programs.
- Support business teams in addressing compliance risks through training and guidance.
- Provide expert advice on compliance-related matters, with support from the Group Compliance team.
- Dispute Resolution and Litigation:
- Manage disputes, pre-litigation, and litigation matters, including arbitration proceedings.
- Develop effective strategies to resolve complex legal issues, protect the company's interests, and address commercial claims.
- Liaise with external counsel to ensure cost-effective and efficient legal representation for outsourced legal matters.
- Supervise and coordinate with business teams to gather facts and evidence, execute litigation strategies, and provide regular updates on litigation progress.
- Corporate Secretarial and Advisory Services:
- Oversee corporate secretarial and compliance-related matters for legal entities in South Asia.
- Manage corporate governance projects, including acquisitions, restructurings, and the establishment of new legal entities.
- Coordinate with external consultants for corporate restructuring initiatives.
- Advisory Support and General Legal Services:
- Offer strategic and legal advice to internal stakeholders, translating complex concepts into actionable recommendations.
- Collaborate with sales, operations, and support teams to align legal support with business objectives.
