About This Role

As a Senior Legal Associate, you will play a pivotal role in managing the entire lifecycle of PE/VC investment transactions while overseeing other critical legal functions.

Key Responsibilities:
  • Draft, review, and negotiate various investment-related documents, including Share Purchase Agreements, Share Subscription Agreements, and Term Sheets.
  • Manage all stages of the investment process, including advising on instruments, conducting legal due diligence, preparing and negotiating transaction documentation, and coordinating with relevant stakeholders for transaction closure.
  • Lead and coordinate the legal due diligence process for investee companies.
  • Structure M&A activities from a regulatory perspective, prepare and review transaction documents, and ensure compliance with applicable laws.
  • Collaborate with various teams and stakeholders to ensure seamless execution of transactions and legal processes.
Requirements:
  • Minimum 5 years experience working in a reputed law firm;
  • LLB;
  • Experience in drafting definitive documents for M&A and PE/VC investment transactions;
  • Experience in conducting Due-Diligence on target companies for PE/VC investment transactions;
  • General corporate experience in advisory and vetting/drafting of commercial agreements;
  • Excellent written and verbal communication;
  • Eye for detail;
  • Strong interpersonal skills.
Estimated Salary: ₹1200000 per annum (Bangalore)
