About the Role

Prozo is seeking a highly skilled and experienced Assistant Manager - Company Secretary to join our team. As a key member of our secretarial function, you will be responsible for managing the company's secretarial activities, including maintaining the secretarial data room, coordinating board meetings, MCA filings, and ensuring compliance with regulatory requirements.

The ideal candidate will have a strong background in company secretarial activities, MCA filings, board meeting management, and compliance. They will possess excellent verbal and written communication skills, with the ability to draft clear and concise minutes, resolutions, and other legal documents. Strong organizational and analytical skills, with a high degree of accuracy and attention to detail, are also essential for this role.

Key Responsibilities

  • Maintain the company's secretarial data room and ensure timely updates.
  • Organize and coordinate board/committee meetings, including preparation of agendas, minutes, and resolutions.
  • Ensure timely filings with MCA and other regulatory bodies (ROC, XBRL filings, etc.).
  • Maintain statutory records and registers as per the Companies Act, 2013.
  • Draft and review corporate documents like notices, resolutions, Minutes and policies.

Requirements

  • Educational Background: Qualified Company Secretary (CS) with a membership in the Institute of Company Secretaries of India (ICSI).
  • Experience: 2-3 years of relevant experience in company secretarial activities, MCA filings, board meeting management, and compliance.
  • Technical Skills: Strong knowledge of Companies Act, MCA filing procedures, and corporate governance standards.
  • Communication Skills: Excellent verbal and written communication skills, with the ability to draft clear and concise minutes, resolutions, and other legal documents.
  • Problem Solving: Strong organizational and analytical skills to ensure compliance with statutory obligations.
  • Attention to Detail: High degree of accuracy and attention to detail, especially in document management and filings.
