
Corporate Governance Expert

Job Description:
The Corporate Governance Specialist is responsible for ensuring the organization's compliance with statutory licenses and maintaining Statutory Registers as required under Companies Act. This involves providing expert advice on corporate governance and compliance matters to the board and senior management, establishing and promoting a culture of ethical behavior and compliance with legal and regulatory requirements throughout the organization.
The Specialist will also be responsible for reporting to the Securities and Exchange Board of India, Ministry of Corporate Affairs, etc., and investors on the implementation of various clauses, rules, regulations and other directives of these authorities.
Key Responsibilities:
- Ensure timely filing of various forms, documents and returns as required under the provisions of the Companies Act with Ministry of Corporate Affairs and other regulatory bodies
- Coordinate with cross functional teams (within and outside the India) to provide corporate documents, authorities and other necessary reports as may be required by various regulatory applications
- Draft and review legal documents necessary for business operations, including agreements, policies, and internal procedures
- Arrange and coordinate for the Board meetings, committees meetings, AGM and EGM
- Draft and prepare all company secretarial documentations including meeting agenda, minutes, board resolutions, etc.
- Maintain statutory books, including registers of members, directors, and secretaries
- Ensure compliances under listing agreement like shareholding pattern, corporate governance, various certification, public notice for Board meeting, AGM, etc.
Requirements:
- A member of the Institute of Company Secretaries of India
- Extensive experience and in-depth knowledge in Companies Act, securities law, corporate governance regulations and other statutory requirements
- Uphold high ethical standards to make informed ethical decisions
- Excellent verbal and written communication skills and negotiation skills
- Work independently and collaboratively as a team player
- Demonstrate resilience and leadership skills to support the team through uncertainty and ambiguity
