**Job Description:**

The Legal and Compliance Manager will be responsible for reviewing contracts, ensuring adherence to applicable laws and internal policies. The successful candidate will work closely with senior legal counsel and other departments to safeguard the company's legal interests and maintain compliance standards.

Key Responsibilities:

  • Review, draft, and negotiate contracts, including agreements, supplier contracts, vendor agreements, client agreements, service agreements, and non-disclosure agreements (NDAs).
  • Ensure contracts comply with company policies and applicable laws.
  • Assist in developing standard contract templates and processes.
  • Work closely with business teams and advise on day-to-day issues and concerns with client agreements.
  • Monitor and ensure the company's adherence to regulatory requirements across various jurisdictions.
  • Assist in conducting internal compliance audits and risk assessments.
  • Support the development and implementation of compliance programs, policies, and training materials.
  • Advise on corporate governance, data protection, and regulatory compliance.
  • Conduct research on relevant laws, regulations, and industry standards.
  • Provide advice and recommendations on legal risks and compliance matters to internal stakeholders.
  • Assist senior legal counsel and legal team in preparing legal opinions and reports.
  • Assist in corporate governance matters, including board meeting minutes and regulatory filings.
  • Support the legal team with dispute resolution, litigation, and other legal matters as required.
  • Maintain legal administrative tasks, including contract databases and records.

Requirements:

  • Bachelor of Laws (LLB) or equivalent degree.
  • 4-6 years of experience in a law firm or in-house environment.
  • Proficiency in email and Microsoft Office applications (Excel, Word, PowerPoint).
  • Problem-solving skills and attention to detail.
  • Effective communication (written and verbal) and strong interpersonal skills.
  • Understanding of contract laws and commercial agreements.
