About the Role:



We are seeking a highly skilled Commercial Counsel to lead our contract integration efforts and drive business growth. As a Commercial Counsel, you will be responsible for developing and implementing sound M&A integration plans and managing all aspects of integrating acquired company contracts into Progress' commercial contracting practices and procedures.



You will collaborate with senior leaders, Corporate Development, and other teams across Progress, including Finance, Sales Management, Product Management, and Information Security, as well as colleagues in the Legal team, to design and implement effective contract integration strategies.



In this role, you will:




  • Develop and maintain M&A contract integration playbooks;
  • Establish contract integration KPIs for each acquisition and measure team performance against those KPIs;
  • Provide legal guidance and advice to internal stakeholders on contract integration and risk management;
  • Continuously identify and implement improvements and best practices to enhance the efficiency and effectiveness of the contract integration function;
  • Collaborate with the team and other stakeholders to design and implement a sound approach for identifying and addressing problematic contract terms in acquired company contracts;
  • Oversee the design and implementation of contract templates for acquired company products and services to align with Progress' contracting practices;
  • Lead the team in the performance of additional responsibilities, including pre-acquisition contract diligence activities;


About You:



To succeed in this role, you will need:




  • A law degree from a reputable university;
  • A minimum of 5 years of relevant experience as a commercial lawyer, preferably in the IT industry;
  • In-house experience in a fast-paced, business-oriented environment;
  • Experience designing and implementing M&A related contracts integration strategies;
  • Strong analytical, problem-solving, and organizational skills;
  • Excellent written and verbal communication skills in English;
  • Strong business acumen and strategic thinking skills;
  • Ability to work independently and manage multiple projects and deadlines;
  • Ability to provide practical advice to legal and business colleagues;
  • Ability to exercise sound judgment and discretion in handling confidential and sensitive information.
