About the Role

We are seeking a highly skilled Corporate Governance Professional to join our team at Peoplemint Consultants. This is an exciting opportunity for someone who is passionate about corporate governance and compliance.

Job Overview

The successful candidate will be responsible for ensuring compliance with corporate laws, regulations, and governance standards. They will also advise the board of directors on their responsibilities, corporate governance matters, and regulatory changes.

Key Responsibilities

  • Corporate Governance:
  • Ensure compliance with corporate laws, regulations, and governance standards by reviewing and analyzing internal processes and procedures.
  • Develop and implement policies and procedures to ensure effective governance and risk management.
  • Provide guidance and support to the board of directors on corporate governance matters, including advising on best practices and regulatory requirements.
  • Board Support:
  • Organize and attend board meetings, committee meetings, and annual general meetings (AGMs). Ensure that all necessary documentation is prepared and distributed in advance.
  • Prepare and distribute meeting agendas, minutes, resolutions, and other supporting documents.
  • Compliance Management:
  • File statutory returns and documents with the Registrar of Companies and other regulatory bodies as required.
  • Monitor compliance with industry-specific regulations and standards, and provide recommendations for improvement.
  • Legal Advisory:
  • Provide guidance on legal and contractual matters, including drafting and reviewing contracts, agreements, and other legal documents.
  • Assist in the negotiation of contracts and agreements with third parties.

Requirements

To be considered for this role, you will need:

  • Education: A Bachelor's degree in Law, Business Administration, or a related field. Professional qualification as a Company Secretary (e.g., ICSI, ICSA) would be advantageous.
  • Experience: At least 5 years of experience as a Company Secretary, preferably from a listed company.
  • Knowledge and Skills: In-depth understanding of corporate governance, company law, and relevant industry regulations. Strong organizational and multitasking abilities, excellent communication and interpersonal skills, attention to detail, and high level of integrity.

Salary and Benefits

The salary for this role is approximately ₹25-30 lakhs per annum, depending on experience and qualifications. In addition to a competitive salary, we offer a range of benefits, including health insurance, retirement savings plan, and opportunities for professional development.
