Job Description

The primary function of this role is to ensure the organization maintains a high level of compliance with all relevant regulatory requirements. This involves advising senior management and the board of directors on matters related to corporate governance, risk management, and statutory filings.

Key Responsibilities:

  • Corporate Governance & Board Support: Provide expert guidance to the board of directors on all aspects of corporate governance, ensuring the highest standards of ethics and efficiency in operations. Coordinate board and committee meetings, prepare agendas, and ensure accurate minute-taking and timely follow-up on action items as per applicable guidelines.
  • Regulatory Compliance: Ensure strict adherence to all relevant statutory and regulatory requirements, including the Companies Act, SEBI regulations, and other financial laws applicable to the organization.
  • Acquisition & Integration: Manage and integrate the compliance functions of newly acquired companies, ensuring a seamless transition.
  • Risk Management: Proactively identify, assess, and mitigate potential compliance risks across the organization, developing and implementing robust internal policies and procedures.
  • Statutory Filings: Oversee the preparation and timely filing of all regulatory documents and returns with authorities such as the Registrar of Companies (ROC), Ministry of Corporate Affairs (MCA), and SEBI for the organization and its subsidiary entities.
  • Responding to Regulators: Ensure prompt resolution to queries / notices / summons issued by stock exchanges / SEBI / other regulatory authorities and engage in discussions with them to resolve their queries.
  • Internal Audits: Conduct regular internal audits and reviews to ensure continuous adherence to regulations and internal policies.
