**About the Role**

As a Deputy Company Secretary at Route Mobile, you will play a crucial role in ensuring the effective functioning of our corporate secretarial department. You will assist in corporate governance, compliance, and stakeholder management, while also contributing to the development of our organizational structure and policies.

**Key Responsibilities**

  • Manage the corporate secretarial functions of Route Mobile Limited, its group companies, spread across India and 20+ international locations.
  • Be responsible and manage the secretarial functions of the Group, primarily listed entity route mobile, stock exchange, SEBI LODR, Insider Trading, takeover code etc., and therefore a thorough understanding of companies act and various SEBI regulations is the key.
  • Working knowledge of FEMA, RBI FDI and ODI compliances.
  • Ensuring quarterly, half-yearly, and yearly compliance applicable to listed company.
  • Schedule, plan, and organize Ad hoc/quarterly Board and Board Committee meetings.
  • Prepare agenda and draft minutes of Board/Board Committee Meetings and Directors' Report.
  • Prepare and undertake all statutory and other filings including to the Registrar of Companies and the Ministry of Corporate Affairs.
  • Ensure through the team, to maintain and record Statutory Registers as required under the Companies Act & Rules thereunder.
  • Assist in the preparation of Annual Report and organizing the AGM/EGM.
  • Other day-to-day secretarial work of the Group like new entity formation, managing requirements of statutory & secretarial auditors etc.

**Requirements**

The ideal candidate should possess:

  • ACS Membership of Institute of Company Secretaries of India.
  • Experience: Positions: 1-3 years (two positions) and 5-7 years (one position - LISTED COMPANY EXPERIENCE A MUST) of PQE into core secretarial compliance.
  • A strong corporate and commercial background.
  • Strong interpersonal communication and management skills as the role will involve close interaction with Management and business units.
  • Sound commercial sense and critical thinking skills, a proactive practical approach, and the ability to manage a range of issues involving multiple areas of law, are critical traits necessary for this role.
  • Mature, meticulous analytical and a team player.

**Salary:** ₹80,00,000 - ₹1,20,00,000 per annum, depending on experience.
