Job Summary

Key Responsibilities
  • Draft, negotiate, and execute contracts and related legal documents, including in-licensing and out-licensing contracts, service contracts, consultancy agreements, distributor contracts, MoUs, term sheets, and confidentiality agreements.
  • Advise on marketing and promotional activities, ensuring compliance with applicable laws and our company's marketing code.
  • Provide legal support to the commercial team in implementing strategic goals, working closely with business units to evaluate commercial intent and guide on its execution, in conformity with legal requirements and with adequate risk mitigation.
  • Interact with key stakeholders, including Finance, Tax, SCM, Regulatory, and colleagues in our global Legal & Compliance department.
  • Support various product divisions and cross-functional teams in key assignments, assisting with legal due diligence and business development efforts.
  • Handle research and interpretation of applicable laws, ideating on creative and legally compliant solutions to business problems.
Requirements
  • LLB from a reputable institution and an LLM from a reputable university with a focus on commercial law or business law (preferable).
  • Minimum 5-8 years of experience as an in-house legal counsel or corporate legal practice in a law firm, with prior experience in contract drafting, negotiation, and legal support in a corporate setting.
  • Experience in research and advisory on applicable law, familiarity with IPR, data privacy, and proficiency in contract drafting, reviewing, and negotiation.
  • Sound knowledge of commercial and business laws, including contract law, marketing laws, and regulatory compliance, with knowledge of European commercial laws being an advantage.
  • Legal research skills and the ability to interpret and apply laws to business situations, familiarity with legal due diligence processes, and strong communication and interpersonal skills.
