We are seeking an accomplished Governance Director to lead our compliance efforts.

The ideal candidate will be a qualified Company Secretary (CS) with 10+ years of experience in corporate governance, risk management, and regulatory compliance.

  • Corporate Governance & Board Support: Advise the board on all matters of corporate governance, ensuring efficient operations. Facilitate board meetings, prepare agendas, and ensure timely follow-up according to SEBI guidelines.
  • Regulatory Compliance: Ensure adherence to statutes and regulations, including the Companies Act, SEBI regulations, and financial laws applicable to a listed company.
  • Risk Management: Identify, assess, and mitigate potential compliance risks across the organization, developing internal policies and procedures.
  • Statutory Filings: Oversee the preparation and filing of regulatory documents and returns with authorities like the Registrar of Companies (ROC), Ministry of Corporate Affairs (MCA), and SEBI.
  • Responding to Regulators: Resolve queries/ notices/ summons issued by stock exchanges/ SEBI/ other regulatory authorities and engage in discussions to resolve their queries.
  • Internal Audits: Conduct regular internal audits and reviews to ensure adherence to regulations and internal policies.

Key qualifications include:

  • Professional Qualifications: Mandatory CS qualification. CA qualification is a strong advantage.
  • Experience: Minimum 10 years of experience in senior compliance roles, working in a listed company and handling M&A compliance.
  • Knowledge: In-depth knowledge of Indian corporate laws, financial regulations, accounting standards, and taxation.
