Job Title: Head of Compliance

The ideal candidate will be a seasoned and highly skilled professional in compliance and corporate governance, adhering to all statutory, regulatory, and internal governance standards.

This position oversees all compliance functions, focusing on corporate governance, risk management, and statutory filings.

  • CORPORATE GOVERNANCE & BOARD SUPPORT:
  • Advise the board of directors on all matters of corporate governance, ensuring efficient and ethical operations. Facilitate board and committee meetings, preparing agendas, and ensuring accurate minute-taking and timely follow-up on action items in accordance with applicable guidelines.
  • Ensure strict adherence to all relevant statutory and regulatory requirements, including laws and regulations applicable to listed entities.
  • Manage and integrate the compliance functions of newly acquired companies, ensuring a seamless transition.
  • Proactively identify, assess, and mitigate potential compliance risks across the organization, developing and implementing robust internal policies and procedures.
  • Oversee the preparation and timely filing of all regulatory documents and returns with authorities.
  • Respond promptly to queries/notifications from regulatory authorities and engage in discussions to resolve their concerns.
  • Conduct regular internal audits and reviews to ensure continuous adherence to regulations and internal policies.
Required Qualifications & Skills
  • Professional Qualifications: Mandatory qualified Company Secretary (CS). A Chartered Accountant (CA) qualification is highly advantageous.
  • Experience: Minimum of 10 years of experience in senior compliance, corporate secretarial, or governance roles. Must have experience working in a listed company and handling M&A compliance.
  • Legal & Financial Knowledge: In-depth knowledge of Indian corporate laws, financial regulations, accounting standards, and taxation.
  • Regulatory Expertise: Strong understanding of regulatory filings and procedures with authorities like the Ministry of Corporate Affairs, Registrar of Companies, SEBI, and RBI.
