Job Role

The primary goal of this role is to manage company secretarial, compliance, and audit matters. This position entails developing and implementing processes to foster good corporate governance and adherence to regulations.

Key Responsibilities
  1. Company Secretarial Services:
  • Organizing board and committee meetings, including drafting agendas, circulating minutes, and action points.
  • Managing share transfers, transmissions, deletions, remats, and duplicate shares.
  • Handling shareholders' grievances.
Cross-Functional Corporate Secretarial Services:
  • Providing transaction support to the legal and finance departments.
  • Reviewing and vetting facility documents, including term loans, mortgages, and debt securities repurchase agreements.
Secretarial Audit:
  • Conducting regular audits to ensure compliance with relevant laws and regulations.
Compliance Management:
  • Staying updated on the latest amendments in corporate laws and regulations.
  • Ensuring adherence to statutory and regulatory requirements, including filing forms and returns.
Corporate Governance:
  • Advising the board and senior management on corporate governance best practices.
  • Ensuring adherence to internal policies and statutory guidelines.
Secretarial Activities:
  • Managing the incorporation process of new entities.
  • Handling auditor appointments and resignations.
  • Overseeing dividend declarations and distributions.
  • Managing preference share issuance, conversion, and redemption.
Specialized Transactions:
  • Managing external commercial borrowings and loan transactions.
  • Ensuring compliance with MSME regulations and filing related forms.
