Paradigm Realty, a premier real estate company in Mumbai, is seeking a highly skilled Corporate Governance Expert to join their team. This is a full-time position requiring 4-6 years of relevant experience.

We are looking for an individual with expertise in corporate governance, ensuring adherence to statutory and regulatory requirements. Strong proficiency in managing legal compliance and overseeing company policies is essential. Experience with regulatory filings and accurate, timely submissions is also required.

The ideal candidate will have strong board management skills, including organizing and coordinating meetings and agendas. In-depth knowledge of company law and applying statutory regulations effectively is necessary. The ability to enhance shareholder relations through transparent communication and scheduled general meetings is also expected.

Key Responsibilities:

  • Formation of entities: Private Limited Companies, Partnership Firms, LLPs, and Public Companies
  • Annual Compliance: LLPs (Form 8, Form 11), Private Limited Companies (Form DPT-3, Form AOC-4, Form MGT-7, Form ADT-1, Directors Report)
  • Change of Address and Constitution of LLPs
  • Filing forms related to NCD transactions
  • Handling compliance related to split and transfer of shares (Physical and Demat)
  • Providing Resolutions on request from various departments
  • Opening of Demat Account and getting ISINs for Companies
  • Creation of Share Pledged and release of pledge on shares in various transactions of NCD
  • Creation of charge upon loan availed
  • Due Diligence of Companies
  • Preparation of agreements related to creation of Partnership firms
  • Resolving issues arising during Compliances at ROC online and off-line
  • Making DSC of all Directors
  • Preparation of Minutes yearly for Companies
  • Handling Compliance related to change in Directors
  • Group structure preparation with different criteria
  • Maintaining Secretarial Records as per Statutory requirement
  • Completing all the compliances as per Statute

Additional Responsibilities:

  • Monitoring Non-violation of Sections of Companies and LLPs
  • Timelines for filing of various forms
  • Cordinating with JV partners for Annual Compliance
  • Cordinating with Auditors related to audit of Companies
  • Cordination with NSDL and CDSL for availing ISINs
  • Cordinating with various RTAs for ISIN, Benpos, Corporate Actions
  • Cordinating with different departments for Compliance
  • Providing Clarification in case of Opening of Bank accounts
  • Providing secretarial advice to the management as and when required
  • Preparing the Secretarial MIS for the management

Salary Information: The estimated salary for this position is ₹60,000 - ₹80,000 per month, based on industry standards and location. We offer competitive compensation packages that align with our company's vision and values.
