Job Summary:

  • We seek a seasoned Company Secretary to join our team as a Compliance Manager - Risk and Compliance Expert. This is an exceptional opportunity for a motivated professional to make a meaningful impact on the company's growth and success.

Responsibilities:

  • To ensure timely compliance with the requirements of SEBI (Mutual Fund) Regulations and other relevant laws and regulations.
  • To review and update regularly the Compliance Manual and other policies to ensure they are aligned with the company's goals and objectives.
  • To conduct regular compliance awareness sessions for employees on Insider Trading, etc., and provide guidance on maintaining confidentiality.
  • To ensure compliance with RBI Act, Foreign Direct Investment norms, AMFI Circulars & notices, and other applicable regulations.
  • To maintain and update the compliance tracker and ensure adherence to all regulatory requirements.
  • To manage Mutual Fund Reporting (Daily/Monthly/Bi-Monthly/Quarterly/Half yearly/Yearly) as per SEBI/RBI/PMLA guidelines/regulations.
  • To interpret various Circulars of SEBI, AMFI, RBI, and other regulators and decide on the course forward for implementation.
  • To maintain knowledge of PMLA Regulations and Anti Money Laundering rules and ensure their effective implementation.
  • To coordinate with Internal Auditors, Statutory Auditors, SEBI Auditors, and maintain cordial relations with regulators.
  • To prepare Board Agenda, Committee Agenda, and Minutes of Meetings, including notices, director's report, and minutes for Board and General meetings.
  • To prepare and periodically update Scheme Information Documents and review Half yearly and annual scheme reports/portfolio.
  • To coordinate with various inter-departments on Regulatory Requirements and be well-versed with Clearing Marketing materials under Advertisement Code.
  • To maintain Statutory registers and records and ensure timely filing of Annual reports, XBRL filings, Annual Returns, and other forms with MCA.
  • To monitor the activities of the Company in a proactive manner to detect and prevent potential breaches of compliance.

Requirements:

  • A minimum of 4-5 years of experience as a Company Secretary.
  • Excellent verbal and written communication skills, time management, planning, and organizational skills.
  • Proficiency in IT skills and ability to create and proofread documents, draft emails, perform administrative tasks, and take care of routine clerical duties.
  • A warm personality with excellent interpersonal skills and the ability to build strong relationships with colleagues, clients, and stakeholders.

Benefits:

We offer a competitive salary range of $120,000 - $180,000 per annum, depending on experience, plus additional benefits including health insurance, retirement plan, and paid time off.
