Job Title: Legal Director

This role involves managing corporate and commercial legal matters, ensuring compliance, overseeing corporate governance, and providing strategic advice to stakeholders.

Key Responsibilities:
  • Deliver accurate and timely legal counsel on a wide range of topics, including contractual matters, regulatory compliance, and risk management.
  • Draft, review, and negotiate various legal documents such as contracts, agreements, and other arrangements related to sales, purchases, supply, consultancy, agency, distribution, real estate, construction, mining, and banking.
  • Develop or update contract templates and adapt existing templates to local requirements, ensuring effective communication and minimal disputes.
  • Assist with insurance claims, queries, and policy development, collaborating with the Group Insurance Department and local brokers.
  • Identify and mitigate legal and regulatory risks, providing solutions to protect the company's interests.
  • Act as the regional compliance point of contact, implementing Group compliance programs and ensuring adherence to regulatory requirements.
  • Train business teams on compliance-related issues, promoting a culture of transparency and accountability.
  • Provide expert advice on compliance matters, supported by the Group Compliance team.
  • Manage disputes, pre-litigation, and litigation matters, including arbitration and negotiation.
  • Develop strategies to resolve complex legal issues, protecting the company's interests and addressing commercial claims.
  • Liaise with external counsel for outsourced legal matters, ensuring cost-effective and efficient representation.
  • Supervise and coordinate with business teams to gather facts and evidence, execute litigation strategies, and provide regular updates on progress.
  • Oversee corporate secretarial and compliance-related matters for legal entities in South Asia, ensuring regulatory compliance and efficient operations.
  • Lead corporate governance projects, including acquisitions, restructurings, and the establishment of new legal entities.
  • Coordinate with external consultants for corporate restructuring initiatives, driving growth and improvement.
  • Offer strategic advice to internal stakeholders, translating complex legal concepts into actionable recommendations.
  • Collaborate with sales, operations, and support teams to align legal support with business objectives, promoting a cohesive approach.
  • Handle special assignments, projects, and duties related to the Legal Department, supporting the APAC General Counsel.
  • Maintain updated records and reports to ensure regulatory compliance and support audits, upholding transparency and integrity.
