Strategic Transaction Lead

We are seeking an exceptional professional to lead our transaction practice.

The ideal candidate will have deep expertise in M&A deal execution, post-deal integration, carve-outs, and restructuring. They will also possess strong understanding of financial reporting, accounting standards, tax structuring, and compliance frameworks.

Key Responsibilities:
  • Lead the drafting of transaction documents, completion of due diligence, and transaction negotiations.
  • Execute processes after deal closure, including capital structuring, funding drawdowns, and compliance.
  • Oversee integration of acquired businesses (financial systems, reporting, governance, risk management).
  • Ensure synergy tracking and realization through structured MIS dashboards and KPI frameworks.
  • Manage separation and carve-out activities where required (shared services, asset transfers, employee migration).
Financial & Regulatory Management:
  • Implement deal-related structures (SPA/SSA covenants, milestone-linked funding, earnouts).
  • Ensure compliance with regulatory frameworks (Companies Act, FEMA, SEBI, RBI, tax regulations).
  • Support clients with closing balance sheet preparation, purchase price allocation, and consolidation.
  • Liaise with statutory auditors, tax advisors, and regulators to ensure smooth compliance post-deal.
Stakeholder & Client Advisory:
  • Act as trusted advisor to boards, promoters, CFOs, and private equity investors on post-transaction strategy.
  • Manage cross-border coordination with legal, tax, and regulatory teams.
  • Provide clear communication and governance updates to senior stakeholders.
Practice Leadership & Team Management:
  • Build and lead a multidisciplinary team (finance, accounting, tax, process experts) to deliver transaction execution services.
  • Drive standard operating procedures for post-deal advisory, ensuring consistency and quality.
  • Mentor Managers and Associates, fostering consulting excellence and knowledge development.
  • Collaborate with other service lines (Tax, Valuation, Audit, Digital Finance) for integrated client solutions.
Business Development & Thought Leadership:
  • Develop service offerings in post-deal advisory and integration.
  • Contribute to proposals, client pitches, and relationship management with key accounts.
  • Represent the firm at industry forums, webinars, and regulatory discussions.
Requirements:
  • 12+ years in M&A, corporate finance, or transaction advisory (Big 4, consulting, or corporate M&A leadership).
  • Chartered Accountant / CFA / MBA (Finance) / LLP
  • Track record of leading complex cross-border transactions and post-deal execution programs.
  • Experience in automotive, manufacturing, EV, or diversified industrials is an advantage.
