Job Overview

The Head of Compliance is a critical role responsible for overseeing all compliance functions within the organization. This includes ensuring strict adherence to statutory and regulatory requirements, managing risk, and providing expert advice to the board of directors.

This senior leadership position requires exceptional leadership, analytical, and communication skills to effectively manage the team and drive business growth.

  • Main Responsibilities:
  • Corporate Governance & Board Support: Facilitate board and committee meetings, prepare agendas, ensure accurate minute-taking, and timely follow-up on action items in accordance with applicable regulations.
  • Regulatory Compliance: Ensure compliance with relevant statutory and regulatory requirements, including companies acts, securities laws, and other financial regulations.
  • Risk Management: Identify, assess, and mitigate potential compliance risks across the organization, develop and implement robust internal policies and procedures.
  • Statutory Filings: Oversee preparation and timely filing of regulatory documents and returns with authorities such as the Registrar of Companies (ROC) and Ministry of Corporate Affairs (MCA).
  • Responding to Regulators: Resolve queries / notices / summons issued by stock exchanges / SEBI / other regulatory authorities in a timely manner.
  • Internal Audits: Conduct regular internal audits and reviews to ensure continuous adherence to regulations and internal policies.

Required Qualifications & Skills

  • Professional Qualifications: Mandatory qualified Company Secretary (CS). A Chartered Accountant (CA) qualification is a strong advantage.
  • Experience: Minimum 10 years of experience in senior compliance, corporate secretarial, or governance role, preferably in a listed company handling M&A compliance.
  • Legal & Financial Knowledge: In-depth knowledge of Indian corporate laws, financial regulations, accounting standards, and taxation.
  • Regulatory Expertise: Strong understanding of regulatory filings and procedures with authorities like the MCA, ROC, SEBI, and RBI.
