Description and Responsibilities

DAVA Oncology, Inc. is seeking for licensed attorneys with 0-1 years of experience to augment its legal team. This is a remote position and does not require relocation. Candidates living in Delhi will be preferred.


Primary responsibilities are highlighted below:

 

Business Contracting:

  • Draft, revise, amend, and negotiate DAVA Business Contracts for products and services developed and tendered by the ACT, ONE, and OMI Business Units, including:
  • Master Service(s) Agreements, Statements of Work, Work Orders, Change Orders, Amendments, Letters of Agreement, and License Agreements
  • Develop contracts in accordance with business precedent and recent course of dealings, as individual clients have differing contracting needs
  • Identify and mitigate contractual risk
  • Organize and Compile DAVA business contracts both in hard copy and digital formats
  • Assist in the development of Business Proposals including:
  • Proposal Decks, Responses to RFPs, and Letters Requesting Support or Sponsorship
  • Assist in addressing client compliance concerns including the reporting requirements of the Physician Payments Sunshine Act
  • Work closely with client procurement departments, attorneys, paralegals, and other personnel to assure prompt conclusion of contracting and support the “closing” of business

Procurement Contracting:

  • Draft, revise, amend, and negotiate DAVA Procurement Contracts for products and services purchased by DAVA, including:
  • Hotel Contracts, Catering Event Agreements, Meeting Space Agreements, Master Service(s) Agreements, Statements of Work, Work Orders, Change Orders, Amendments, and License Agreements
  • Develop contracts in accordance with business precedent and DAVA procurement guidelines
  • Identify and mitigate contractual risk and unnecessary, excessive, or noncompliant (contracts related to services provided to clients) terms and expenditures
  • Organize and Compile DAVA business contracts both in hard copy and digital formats
  • Assist in addressing client compliance concerns including the reporting requirements of the Physician Payments Sunshine Act

Staff Counsel Support

  • Provide general legal support for DAVA, particularly focusing on matters that could benefit from the involvement of an attorney, including:
  • Client nonpayment issues, regulatory compliance matters, development of internal policies and standard operating procedures, and other matters as requested by management
  • Assist in company compliance efforts, including drafting appropriate standard operating procedures, with the FDA and other regulatory authorities
  • Assist on strategic deals, licenses and acquisitions in biotechnology and biopharma
  • Assist with business development and operations as needed
  • Assisting in the development and implementation of estate planning strategies
  • Researching and advising on financial and income, estate and gift tax issues
  • Working closely with the company’s senior management on a daily basis to provide general legal advice and propose and implement solutions to legal issues
  • Providing ongoing legal counseling in general business law, licensing, intellectual property, regulatory compliance and employment matters
  • Assisting counsel on strategic deals, licenses and acquisitions in biotechnology and biopharma
  • Providing ongoing legal counseling in general business law, licensing, intellectual property, regulatory compliance and employment matters

 

Qualifications:

  • Juris Doctorate or Bachelors in Law or LLM
  • All India Bar Examination certified/passed
  • Knowledge of USA law or experience will be preferred
  • Keen attention to detail and diligence
  • Exceptional organizational, project and time management skills
  • Highly organized with ability to prioritize and work efficiently under deadlines
  • Strong drafting, communication (verbal and written) and negotiation skills
  • 0 - 1 years’ experience
  • Experience (educational and/or professional) in timeline management. Ability to exercise independent judgment within generally defined practices and policies that lead to methods or processes for obtaining results
  • Good organization and planning skills
  • Strong interpersonal skills and communication skills (both written and oral)
  • Ability to problem solve
